  1. As used herein, "MLS" shall refer to Metrolist, the Multiple Listing Service providing Participant's listing content to Buyer Acquire.
  2. This Agreement provides that the listing content with an Office ID matching that of the Participant will be released to Buyer Acquire by MLS. This Agreement acts as authorization for Buyer Acquire to receive the requested listing content from MLS. In conjunction with this release form, a METROLIST Tech Partner Agreement and must be in place with Buyer Acquire.
  3. Participant's access to the MLS Database or other broker designated Licensed Content, and use of the Services are subject at all times to the rules and regulations and operating policies of the MLS. Policies may change at any time, and such changes may result in changes to the Services, including the reduction or elimination of functionality or capabilities.
  4. If at any time the MLS informs Buyer Acquire that any Participant is no longer a Participant in good standing with the MLS, any components of the Services that use the Licensed Content will immediately cease to work for said Participant.
  5. Subscriber is not permitted under any circumstances to make access the Licensed Content available to any person not authorized by MLS to have that access.
  6. Buyer Acquire is not MLS's agent and has no authority to enter into any agreement on MLS's behalf. This Agreement between Buyer Acquire and Participant does not create any liability or obligations on the part of MLS. Participant's sole recourse for damages or breach of this Agreement is to Buyer Acquire.
  7. DISCLAIMER OF WARRANTIES: BUYER ACQUIRE MAKES NO WARRANTIES OF ANY KIND ON BEHALF OF MLS. THIS ENTIRE RISK ARISING OUT OF THE USE OF THE LICENSED CONTENT AND SERVICES REMAINS WITH THE PARTICIPANT.
  8. LIMITATION OF LIABILITY: IN NO EVENT SHALL MLS BE HELD LIABLE FOR ANY INJURY TO PARTICIPANT ARISING OUT OF THIS AGREEMENT OR USE OF THE SERVICES.

Indemnification: Participant shall indemnify, defend and hold MLS, its developers, staff, shareholders, licensors, and other MLS subscribers harmless from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable fees of attorneys and other professionals) arising out of or in connection with this Agreement or use of the Services.
